AND NETWORK PROGRAM AGREEMENT

Welcome to our platform (“Perk Miner," "Company," "we," "us," or "our"). This Terms of Service and Network Program Agreement ("Agreement") forms a legally binding contract between the Company, a Nevada corporation, and you. This Agreement governs your access to and use of our mobile application, website, and related multi-tier cashback and advertising services.
"You" or "Your" refers to any individual registering as a "Member" or any commercial business entity registering as a "Business Advertiser" (collectively referred to as "Participants").
1. NATURE OF THE SERVICE & REGULATORY DISCLOSURE
- • Advertising Network Only: The Platform acts exclusively as a commercial advertising directory and transaction-tracking network. The Platform does not process, receive, or host primary consumer payments for products or services sold by Business Advertisers.
- • No Investment or Joining Fees: Membership and registration on the Platform are 100% free for all Members. No purchase, inventory loading, or sign-up fee is required to participate or earn commissions.
- • FTC Compliance & Anti-Pyramid Protection: All rewards, cashback, and multi-tier commissions paid within this network originate entirely from real, verified, post-purchase advertising fees paid by Business Advertisers for actual, completed commercial transactions. No compensation is paid for the mere recruitment of other Participants.
2. STRIPE ONBOARDING & TAX COMPLIANCE (W-9)
- • Mandatory Stripe Onboarding: To receive payouts, all Members and Business Advertisers must successfully complete onboarding via Stripe Connect. You agree to comply with all Stripe terms and provide accurate identity and banking information.
- • W-9/TIN Submission: To ensure absolute compliance with IRS guidelines, all Participants are required to submit digital tax verification once your commission earnings reach $600 (you will be contacted by Stripe via email and will have a limited amount of time to submit the form). Failure to submit the required document will result in blocked access to withdrawing future funds owed even though your available funds will remain in your account until the end of the year. If you fail to provide a W-9 within 30 days of the new year, you risk your account being suspended and/or deleted.

Tax Classification of Payouts:
Post-Purchase Rebates: Direct cashback received by a Participant on their own purchases is legally treated as a post-purchase price discount and is generally non-taxable, but may be included as income by Stripe.
Referral Income: All Tier 2 through Tier 5 commissions and network referral payouts constitute taxable non-employee compensation.
Form 1099-NEC: The Platform, via Stripe, will track cumulative annual referral earnings and issue IRS Form 1099-NEC where applicable.
3. ADVERTISER PREPAID WALLET & THE 10% ADVERTISING FEE
- • The Advertising Fee: 10% of the total gross transaction amount (capped at $250.00 per transaction).
- • Prepaid Account Funding: Business Advertisers must fund an in-app prepaid advertising wallet via Stripe.
- • Hard Wallet Restrictions: Transactions are blocked if wallet balance is insufficient.
- • Refundability and Escheatment: Governed by Nevada unclaimed property laws.
4. TRANSACTION FINALIZATION & DELAYED CLAUSE
- • Mandatory in-app finalization by Business Advertisers.
- • In-Person QR Code Verification for fraud protection or manual finalization by the business as needed.
- • Delayed finalization option with mandatory disclosure.
- • Instant withdrawals via Stripe (minimum $10).
5. COMPENSATION PLAN & MULTI-TIER REWARD STRUCTURES
All calculations based on gross transaction volume up to $2,500 per transaction.
A. Member and Member-Referred Purchases
- Tier 1 (Your purchases): 2.00% Cashback
- Tier 2 (Purchases by directly Sponsored Member): 0.25% Commission
- Tier 3 (Purchases by Member Sponsored by Tier 2 Member): 0.25% Commission
- Tier 4 (Purchases by Member Sponsored by Tier 3 Member): 0.25% Commission
- Tier 5 (Purchases by Member Sponsored by Tier 4 Member): 2.00% Commission
Sample Payout ($2,500 Purchase by Tier 5 Member):
- Tier 1 (Your Commission): 2.00% Commission ($50)
- Tier 2 Member Commission: 0.25% Commission ($6.25)
- Tier 3 Member Commission): 0.25% Commission ($6.25)
- Tier 4 Member Commission): 0.25% Commission ($6.25)
- Tier 5 Member Cash Back (Member who made the purchase): 0.25% Cash Back ($50)
B. Member-Referred Businesses
- Tier 1 (Sales by business you directly sponsor): 1.00% Commission
- Tier 2 (Sales by businesses referred by Tier 1 business): 0.25% Commission
- Tier 3 (Sales by businesses referred by Tier 2 business): 0.25% Commission
- Tier 4 (Sales by businesses referred by Tier 3 business): 0.25% Commission
- Tier 5 (Sales by business referred by Tier 4 business): 1.00% Commission
C. Business-to-Business Referrals
- Tier 1 (Sales by your business): 1.00%
- Tier 2 (Sales by directly Sponsored Business): 0.25%
- Tier 3 (Sales by Business Sponsored by Tier 2 Business): 0.25%
- Tier 4 (Sales by Business Sponsored by Tier 3 Business): 0.25%
- Tier 5 (Sales by Business Sponsored by Tier 4 Business): 1.00%
D. Split Mutual Commission (Amount businesses you directly sponsor earn from your sales)
- Tier 2 Businesses sponsored by Your Business: 0.25% of your sales divided by number of Total Number of Businesses directly sponsored by Your Business
6. DISPUTE RESOLUTION, MEDIATION, & SECURE CHAT
In-app dispute system with secure three-way messaging and good-faith resolution.
7. LEGAL PROTECTION AGAINST COLLUSION & FRAUD
Zero tolerance for fake transactions. Audit rights and account termination for violations.
8. LIMITATION OF LIABILITY & GOVERNING LAW
Governed by Nevada law. Exclusive jurisdiction in Clark County, Nevada.
